§ 2. Leadership and Governance.

  • A.

    Chair. A Chair shall be elected by the Board at the first regularly scheduled meeting of each calendar year, or as necessary upon the resignation or removal of the Chair, by a majority vote of the Board members present at the meeting. The Chair shall preside over all regularly scheduled and special hearings of the Board; decide all points of procedure, unless otherwise set forth herein; and sign written decisions and any minutes of the Board.

    B.

    Vice-Chair. A Vice-Chair shall be elected at the first regularly scheduled meeting of each calendar year, or as necessary upon the resignation or removal of the Vice-Chair, by a majority vote of the Board members present at the meeting. The Vice-Chair shall assume all of the duties of the Chair in their absence or incapacity.

    C.

    Secretary. The Secretary for the Board shall be the Urban Conservator or their designee. The Secretary shall be the point of contact on all matters before the Board. The Secretary shall have the specific duties set forth herein.

    D.

    Absence of Board Leadership. In the absence or incapacity of the Chair and the Vice-Chair at a meeting, a majority of the Board members present at the meeting shall elect a temporary Vice-Chair who shall assume the role of the Vice-Chair during the absence or incapacity.

    E.

    Special Committees. The Chair may convene special committees of the Board to study, investigate, or address a matter of interest to the Board. A special committee shall consist of no more than three Board members and may include non-Board members. A special committee shall not have the power or authority to take any official action of the Board. A special committee shall report the results of its work to the Board.
